Terms of Service

The rules for using this website, and the commercial terms that apply to an engagement unless your signed quote says otherwise.

01 Who these terms bind

These terms are between you and APIgoat, a solutions consulting practice based in Quebec City, Quebec, Canada. Sections 02 to 04 apply to anyone using this website. Sections 05 onward apply once you engage me for work.

Using this site means you accept these terms and the Privacy Policy. If you do not, please do not use the site.

02 The website and its content

The text, code, design, logo and name on this site belong to APIgoat and are protected by copyright and trademark law. You may read it, quote it with attribution and link to it. You may not copy the site, resell its content, or present it as your own.

The site is provided for information. It is kept accurate and current as best I can, but nothing on it is professional advice for your specific situation, and links to other people's sites are not an endorsement of them.

Do not attempt to break into, overload, scrape at volume, or interfere with the site or the services behind it. Access may be blocked where that happens.

03 The chatbot and live demos

The chatbot on this site is a demonstration of the APIchatbot product. Its answers are generated by a language model from a limited set of documents. They can be incomplete or simply wrong, and they are not advice, a quote or a commitment. Check anything that matters with me directly.

Do not enter confidential information, credentials, or anyone's personal details into the chatbot. Demos are offered as they stand, may be rate-limited, changed or withdrawn at any time, and carry no availability commitment.

04 Prices and quotes on this site

The rates and packages on the offer page are indicative. They are not an offer capable of acceptance and do not bind either of us. The binding scope and price come from a written quote issued after a scoping call.

Prices are in the currency stated on the quote and exclude GST, QST and any other applicable tax, which is added at invoicing.

05 How an engagement is agreed

Work starts when you accept a written quote — by email is enough. The quote sets the scope, the price, the assumptions it depends on and the delivery window; together with these terms it is the whole agreement, and it prevails over these terms wherever the two differ.

Anything outside the quoted scope is a change: I will price it before doing it, and you decide. Estimated delivery dates assume timely feedback and access from you and are not guaranteed dates unless the quote says they are.

06 What I need from you

  • A single person who can make decisions and give feedback within a reasonable time.
  • The access needed to do the work — accounts, credentials, environments, third-party dashboards.
  • Content, data and assets you have the right to use, and the confirmation that you do hold those rights.

Where a delay on your side stalls the work, delivery dates move accordingly, and time already committed may still be billed.

07 Invoicing and payment

hourly work
Billed for time actually worked, at the rate on the quote, invoiced monthly unless agreed otherwise.
projects over 40 hours
Quoted as a fixed scope and invoiced in three milestones: 30% at kickoff, 40% at first deliverable, 30% at handover.
hour banks
Paid up front, tracked weekly, valid 12 months from purchase. Unused hours roll into your next project; they are not refundable in cash.
monthly services
Hosting, AdWords management, backup and similar recurring services are billed monthly in advance and renew month to month until either of us cancels in writing.
pass-through costs
Ad spend, third-party subscriptions, licences, domains and certificates are yours and are billed separately or paid by you directly.

Invoices are payable on the terms shown on the invoice. Overdue amounts carry interest at the rate stated there, and work — including hosting and monthly services — may be paused after notice until the account is current.

08 Who owns what is built

Once the engagement is paid in full, the deliverables built specifically for you — custom code, configuration, designs and documents — are yours, together with the copyright in them, and I will sign whatever confirms that if you need it.

What existed before the engagement stays mine: my tools, frameworks, generators and the general know-how and techniques I bring. Where such a component is embedded in what I deliver, you get a perpetual, worldwide, non-exclusive, paid-up licence to use, run and modify it as part of that deliverable. Open-source components keep their own licences, which are listed on handover.

Until the engagement is paid in full, the deliverables are licensed to you for evaluation only.

I may describe the nature of the work publicly and show non-confidential visuals, unless the quote or an NDA says otherwise. Ask and I will keep an engagement entirely unnamed.

09 Confidentiality

Each of us keeps the other's confidential information confidential, uses it only for the engagement, and protects it at least as carefully as our own. This does not cover information that is already public, that you or I already had, or that must be disclosed by law. A mutual NDA is available on request and, once signed, prevails over this section.

10 Warranty, and what is not warranted

I perform the services with the care and skill expected of a competent professional in this field. For 30 days after a deliverable is handed over, defects that stop it doing what the quote said it would do are corrected at no charge — report them and they get fixed.

Beyond that, deliverables and services are provided as they stand. I do not warrant uninterrupted or error-free operation, particular business results or search rankings, the behaviour of third-party services, platforms and APIs, or the accuracy of output generated by a language model. Monthly services include monitoring and backups as described, not a guaranteed uptime figure, unless a service level is written into your quote.

Nothing in these terms sets aside rights and warranties that the law does not allow to be excluded.

11 Limitation of liability

My total liability arising from an engagement, on any basis, is limited to the fees you paid me for the part of the engagement that gave rise to the claim. I am not liable for indirect or consequential damage, lost profit, lost revenue, lost data or business interruption.

This limit does not apply to gross or intentional fault, to bodily or moral injury, or to anything else the law does not permit to be limited.

Backups are part of several services and are tested, but keeping your own independent copy of anything you cannot afford to lose stays your responsibility.

12 Ending an engagement

Either of us may end an engagement on written notice. You pay for the work done and the costs committed up to that point; I hand over what is finished, in the state it is in, once that is settled. Monthly services end at the close of the current billing month.

The sections on ownership, confidentiality, warranty limits, liability and governing law survive the end of an engagement.

13 Governing law

These terms are governed by the laws in force in Quebec and the federal laws of Canada that apply there. Any dispute goes before the courts of the judicial district of Quebec City, and we will each make a genuine attempt to sort it out directly before it gets that far.

14 Changes to these terms

These terms may change; the date at the top says when they last did. The version that governs an engagement is the one in effect on the day your quote was accepted. Questions: hello@apigoat.com.
